A. Forge Referral Program Terms & Conditions
(This acts as the “Terms of Service / Terms & Conditions” for the referral program.)
1. Overview
These Forge Referral Program Terms & Conditions (the “Referral Terms”) govern your participation in Forge’s customer referral program (the “Program”). In these Referral Terms, “Forge,” “we,” “us,” and
“our” mean Forge and its affiliates, and “you” means the individual participating in the Program as an Advocate/Referrer or Referee, as applicable. The Program allows eligible customers (each an “Ambassador,” “Advocate,” or “Referrer”) to earn rewards by referring new, qualified customers (each a “Referee” or “Referred Customer”) to Forge for HVAC consultations, quotes, and installations. By participating in the Program, you agree to be bound by these Referral Terms as well as Forge’s main Terms of Service and Privacy Policy (collectively, the “Forge Terms”). If you do not agree, please do not participate in the Program.
The Program allows eligible customers (each an “Ambassador,” “Advocate,” or “Referrer”) to earn rewards by referring new, qualified customers (each a “Referee” or “Referred Customer”) to Forge for
HVAC consultations, quotes, and installations.
By participating in the Program, you agree to be bound by these Referral Terms as well as Forge’s main Terms of Service and Privacy Policy (collectively, the “Forge Terms”). If you do not agree, please
do not participate in the Program.
2. Eligibility
2.1 Referrers
To be eligible to participate as a Referrer, you must:
● be at least 18 years old;
● be a legal resident of the United States;
● have a Forge referral account in good standing.
2.2 Referees
To qualify as a Referee for purposes of earning a reward:
● the Referee must be a new Forge customer (no existing or pending consultation, quote, or installation with Forge for the same property);
● the Referee’s property must be located in an area currently served by Forge;
● the Referee must satisfy Forge’s technical and financial eligibility criteria for an HVAC consultation or installation, as determined solely by Forge; and
● the Referee must complete all steps described in Section 4 (for the relevant reward type).
2.3 One household/property
Only one Referrer may receive a reward per Referee household and per installation address. If multiple Referrers submit the same Referee, the first to refer is eligible for the reward.
2.4 Contractors & partners
Forge contractors or channel partners may be subject to separate referral rules or may be excluded from the Program at Forge’s discretion.
2.5 Employee referral rules
These referral terms do not apply to Forge employees. There are separate referral rewards and rules for Forge employees.
3. How the Program Works
3.1 Referral method
Referrers may invite friends and family by sharing their unique referral link, QR code, or by submitting a referral form (online or via a Forge representative). The referral must be received by Forge before the Referee’s first consultation is booked for it to count toward a reward.
3.2 Association of Referrer and Referee
A Referee is linked to a Referrer when they (a) sign up or book a consultation using the Referrer’s unique link or QR code, or (b) are submitted via a referral form that includes both parties’ information. If a Referee engages Forge through another channel without the link or form, Forge is not obligated to attribute that opportunity to any Referrer.
3.3 Program structure
The specific reward amounts, tiers, and thresholds (for example, quote rewards, first and second install rewards, 3+ referrals maintenance plan, and 5+ referrals maintenance plan and extended warranty benefits) are set out in Forge’s referral program materials and may change over time. In the event of any inconsistency, these Referral Terms control how and when rewards are earned.
4. When Rewards Are Earned
4.1 Consultation & quote reward (the “Quote Reward”)
A Referrer becomes eligible for a Quote Reward only when all of the following conditions are met:
a. The Referee has been referred through a valid link, QR code, or referral form associated with the Referrer;
b. The Referee completes a consultation with Forge (virtual or in-home) scheduled and attended through Forge;
c. Forge determines, in its sole discretion, that the Referee and the property are eligible for an HVAC solution and/or a formal proposal; and
d. Forge issues a written quote for a HVAC installation to the Referee.
If any condition above is not met—for example, if the Referee is not technically or financially eligible, does not complete the consultation, or Forge decides not to issue a quote—no Quote Reward will be
payable.
4.2 Installation reward (the “Install Reward”)
A Referrer becomes eligible for an Install Reward (for a first, second, or subsequent referral) only when all of the following conditions are met:
a. The Referee meets all criteria in Section 2.2;
b. The Referee proceeds with a Forge HVAC installation based on a Forge quote associated with the referral;
c. The installation for the Referee’s property is fully completed by Forge; and
d. The Referee has paid all amounts due for the installation and any applicable cancellation or refund period defined in Forge’s customer agreement has expired.
If the Referee cancels the installation, receives a full refund, or fails to make payment, Forge is not obligated to issue the Install Reward. Forge may delay payment until it reasonably confirms completion and payment.
4.3 Tiered and bonus rewards
Where Forge offers tiered rewards (for example, bonus rewards at 3+ or 5+ completed installs), the applicable bonus is earned only once the required number of completed and paid installations
associated with the Referrer has been reached.
4.4 Timing and form of rewards
Unless otherwise stated, rewards will be issued within a commercially reasonable period (for example, within 30–60 days) after the relevant conditions are met. Rewards may be provided as cash,
payment by check, electronic transfer, bill credits, prepaid cards, gift cards, or charitable donations, at Forge’s discretion. Rewards are non-transferable and may not be sold, exchanged, or redeemed
for cash except as explicitly stated.
Any free annual maintenance and extended warranty benefits are subject to the then-current Forge maintenance and warranty terms for the relevant system, including service area, scheduling
availability, and exclusions. These benefits have no cash value and cannot be substituted or transferred, except as we may permit in writing.
4.5 Taxes
Referrers and Referees are responsible for any tax or reporting obligations that may arise from receiving rewards. Forge may require tax forms and may withhold amounts where required by law.
5. Prohibited Activities and Program Integrity
5.1 You agree not to:
● refer yourself, your own property, or any property you own under a different name solely to receive rewards;
● create fake accounts, submit false information, or otherwise attempt to manipulate the Program;
● use spam tactics, unsolicited mass emails, or misleading advertising to obtain referrals;
● post referral links on coupon or promo‐code aggregation sites, or use any channels that Forge designates as prohibited in Program materials or in direct communications to you; or
● engage in any activity that Forge, in its sole discretion, deems abusive, fraudulent, or inconsistent with the spirit of the Program.
For clarity, sharing your referral link through your personal social media accounts or community groups (in accordance with those platforms’ rules) is generally permitted, provided you do not use
spam tactics, misleading claims, or paid mass‐distribution services.
5.2 Violations
Forge may, in its sole discretion, withhold, deny, or cancel any reward and may suspend or terminate Program participation if it believes these Referral Terms have been violated or if the Program is being used in a way that may harm Forge, its customers, or its reputation.
5.3 Recovery of Rewards
Forge reserves the right to recover rewards that were wrongly issued due to error, misuse, or later-cancelled installations (for example, by setting off amounts against future rewards).
5.4 Other Incentives
Rewards are promotional incentives offered by Forge and are not utility rebates, rate discounts, or financing products. Participation in the Program does not affect eligibility for government or utility
incentives.
6. Program Changes and Termination
Forge may modify, suspend, or terminate the Program (including reward amounts, structures, or eligibility rules) at any time, with or without notice, to the maximum extent permitted by law. Updated Referral Terms will be posted on Forge’s website. Your continued participation in the Program after any changes constitutes your acceptance of the updated Referral Terms. If the Program is terminated, Forge is not obligated to provide any rewards for referrals that have not yet met all conditions in Section 4 as of the termination date.
7. Privacy and Data Use
Participation in the Program involves the processing of personal data of both Referrers and Referees. By participating, you confirm that you have obtained permission from any person whose contact
details you submit and that Forge may contact them regarding the Program and Forge services. Data collected through the Program—including names, contact details, referral history, and reward
balances—will be processed in accordance with the Forge Privacy Policy and the Referral Program Privacy Notice set out below (or linked on the referral hub). Forge may share limited data with its
referral platform provider (currently Referral Hero) and CRM provider (HubSpot) solely to administer the Program.
8. Limitation of Liability
To the maximum extent permitted by law, Forge will not be liable for any indirect, incidental, or consequential damages arising out of or related to the Program. Forge’s total aggregate liability in
connection with the Program will be limited to the total value of rewards earned by you in the twelve (12) months preceding the claim.
9. Governing Law and Disputes
These Referral Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any disputes arising out of or relating to the Program will be
resolved in the state or federal courts located in Massachusetts, unless applicable law requires otherwise.
B. Referral Program Privacy Notice (Supplement)
This Referral Program Privacy Notice (“Notice”) supplements the Forge Privacy Policy and explains how Forge collects, uses, and shares personal information in connection with the Forge referral program (the “Program”). Capitalized terms have the meaning given in the Referral Terms above.
1. Personal Data We Collect
In connection with the Program, Forge may collect:
● Referrer data: name, contact details (email, phone, address), Forge customer account details, referral link or code, referral history, and reward balances.
● Referee data: name, contact details, property address, information about the property relevant to eligibility, and status of their consultation, quote, and installation.
● Program interaction data: dates of referrals, channels used (link, QR, form), reward type and amount, and communications related to the Program.
We may also collect technical data (e.g., IP address, device information, cookies) when you use the referral hub or related digital properties.
2. How We Use Personal Data
We use this data to:
● operate and administer the Program (track referrals, determine eligibility, issue rewards);
● communicate with Referrers and Referees about the Program, including confirmations, reminders, reward notifications, and surveys;
● prevent fraud, abuse, and misuse of the Program;
● analyze performance (e.g., which channels generate referrals, aggregate statistics); and
● comply with legal obligations (such as tax and accounting rules).
Processing is typically based on our legitimate interests in running the Program and growing our business, and on consent where required (for example, sending certain marketing communications).
2.1 Mobile/SMS Communications
When you provide your mobile phone number and opt in to receive text messages from Forge, you agree that Forge and its service providers may send you SMS messages related to your consultations,
quotes, installations, account, and the Forge referral program. Message frequency may vary. Message and data rates may apply. We do not share mobile phone numbers or SMS opt‐in information with third parties for their own marketing purposes. We may share your number only with our service providers as necessary to deliver SMS messages and operate our services.
3. Sharing of Personal Data
Forge may share Program-related data with:
● Service providers, including our referral platform provider (e.g., Referral Hero), CRM provider (HubSpot), payment processors, and email/SMS platforms, solely to administer and analyze the Program;
● Professional advisers (lawyers, accountants) where necessary;
● Authorities where required by law.
We do not sell personal data collected through the Program.
4. Referrer Responsibilities
If you provide Forge with someone else’s personal information as a Referee, you confirm that you have their permission to do so and that they understand they may be contacted by Forge about a
consultation, quote, installation, and the Program. If they no longer wish to hear from Us they can use the unsubscribe or opt-out mechanisms in our communications or contact us directly.
5. Data Retention
We retain Program data for as long as necessary to operate the Program, comply with legal obligations, resolve disputes, and enforce our agreements. Rewards and referral history may be stored with your Forge account records for accounting and tax purposes.
6. Know Your Rights
Depending on where you live, you may have rights to access, correct, or delete your personal information, to object to certain processing, or to request portability. To exercise these rights, please follow the instructions in the Forge Privacy Policy or contact us using the details provided there.
7. Updates to Notice
We may update this Notice from time to time. Material changes will be posted on the referral hub or Forge website, and the “last updated” date will be revised accordingly. Continued participation in the
Program after changes means you accept the updated Notice.
